Welcome to Becca's Rental List ("Company", "we", "us", "our"), your trusted platform for rental listings in New York City. These Terms and Conditions, also referred to as the Terms of Service ("Terms"), govern your access to and use of our website, mobile applications (if any), digital platforms, content, features, tools, and services (collectively, the "Service"). Becca's Rental List operates as a premier rental listing and information platform designed specifically to connect users with rental-related information, listings, resources, and third-party service providers throughout the five boroughs of New York City.

By accessing, browsing, registering for an account, or otherwise using our Service, you confirm that you have read, understood, and agree to be legally bound by these Terms and by our Privacy Policy, which together form a legally binding agreement (the "Agreement") between you and Becca's Rental List. If you do not agree to these Terms, you must immediately discontinue any access or use of the Service.

Important Notice: These Terms apply to all visitors, users, account holders, renters, property owners, property managers, real estate agents, brokers, advertisers, and any other individuals or entities that access or use the Service. • "NYC Market"— Collectively refers to the five boroughs of New York City: Manhattan, Brooklyn, Queens, The Bronx, and Staten Island.

To access certain features of the Service, you may be required to create an account. By creating an account, you represent and warrant that:

• ✓You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater.
• ✓You have the legal capacity to enter into a binding agreement under applicable law.
• ✓All information you provide during registration and at all other times is accurate, complete, truthful, and current.

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any breach of security by contacting security@beccasrentallist.com. Becca's Rental List will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

Account Verification: We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion, including if we believe that the information provided is inaccurate, misleading, or incomplete. We may also require additional verification for certain account types or activities.

Becca's Rental List provides a comprehensive online platform tailored for the New York City rental market. Our services may include:

Important Disclaimer: We do not own, manage, inspect, or control the properties listed on the Service unless explicitly stated otherwise. We act solely as a neutral intermediary and information platform. Any agreements, transactions, or interactions between Users and third parties are entered into directly between those parties, and Becca's Rental List is not a party to such agreements.

By using the Service, you agree to:

• •Use the Service only for lawful purposes and in compliance with all applicable local, state, and federal laws and regulations, including New York State and New York City housing laws.

You agree not to:

• ✗Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• ✗Use the Service to distribute spam, malware, viruses, or other harmful code.
• ✗Attempt to gain unauthorized access to the Service, accounts, servers, or networks.
• ✗Interfere with or disrupt the integrity or performance of the Service.

In addition to the above, you may not use the Service:

• ✗In any manner that violates applicable laws, regulations, or ordinances, including fair housing laws.
• ✗To exploit, harm, or attempt to exploit or harm minors in any way.
• ✗For the purpose of harassment, abuse, stalking, or discrimination based on protected characteristics.
• ✗To collect or harvest personal information of other Users without express consent.
• ✗To engage in unauthorized advertising, solicitation, or promotional activities.

Enforcement: We reserve the right to investigate and take appropriate legal action against any User who violates these provisions, including reporting such violations to law enforcement authorities.

Users may submit rental listings, property information, reviews, and other content to the Service. By submitting User Content, you grant Becca's Rental List a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, distribute, and promote such content in connection with the Service and our business operations.

You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to submit the User Content and that it does not infringe the copyright, trademark, privacy, publicity, or other rights of any third party.

Content Review: We do not guarantee the accuracy, completeness, or reliability of any listings or User Content and are not responsible for errors, omissions, or misrepresentations. We reserve the right, but have no obligation, to monitor, review, or remove User Content at our sole discretion.

Certain features, services, or listings may require payment of fees. All fees, pricing structures, and payment terms will be clearly disclosed prior to your purchase or commitment. Unless otherwise stated, all fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy.

You agree to provide accurate and complete billing information, including valid payment method details, and authorize us or our third-party payment processors to charge applicable fees to your designated payment method. We reserve the right to change pricing or fees at any time, with notice to you where required by law.

The Service may contain links to third-party websites, applications, or services that are not owned or controlled by Becca's Rental List. This includes, but is not limited to, links to property management systems, mortgage lenders, moving companies, and other service providers relevant to the NYC rental market.

We are not responsible for the content, privacy policies, terms of use, or practices of any third-party services. Your interactions with third parties are solely between you and such parties, and you agree that Becca's Rental List shall not be liable for any loss, claim, or damage arising from such interactions.

All content, features, functionality, trademarks, service marks, logos, software, databases, and materials provided by Becca's Rental List are owned by or licensed to us and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, reproduce, distribute, transmit, display, perform, publish, license, modify, create derivative works from, transfer, or sell any materials or content obtained from the Service without our prior written consent, except as expressly permitted by these Terms.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BECCA'S RENTAL LIST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR (IV) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BECCA'S RENTAL LIST AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU, IF ANY, FOR USE OF THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Becca's Rental List, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

• •Your violation of these Terms
• •Your violation of any applicable law or regulation
• •Your User Content or any content you submit, post, or transmit through the Service
• •Your interactions with other Users or third parties

We may suspend or terminate your access to the Service, in whole or in part, with or without notice, at our sole discretion, for any reason, including but not limited to violation of these Terms, fraudulent or illegal activities, or actions that may harm other Users or the integrity of the Service.

Upon termination, your right to use the Service will immediately cease, and we may delete or deactivate your account and all related information and files. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranties, indemnification, and limitations of liability.

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, process, and protect your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. The parties irrevocably submit to the exclusive jurisdiction of the federal and state courts located in New York County, New York, for the resolution of any disputes arising out of or relating to these Terms or the Service.

Any disputes arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiations. If the dispute cannot be resolved informally within thirty (30) days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in New York County, New York, and judgment on the arbitration award may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

We reserve the right to modify, amend, or update these Terms at any time, for any reason, in our sole discretion. Changes will be effective immediately upon posting on the Service, unless otherwise specified. We may provide notice of material changes through the Service, by email, or through other reasonable means.

Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire and exclusive agreement between you and Becca's Rental List regarding your use of the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral.
